  1. Every real estate transaction is different and presents unique issues and challenges. Attorney Dawley has a client whose mother died a few years ago owning four pieces of real estate in the Boston area. The goal was to sell all four properties. There were many moving parts involving real estate brokers, lenders, lawyers, home inspectors, and appraisers. Since the properties were part of an estate it was necessary to reconcile any probate issues, including whether it was necessary to get a license to sell from the Probate and Family Court. Because the estate was subject to estate tax it was imperative to get releases from the Internal Revenue Service and the Massachusetts Department of Revenue. There were four purchase and sale agreements, four buyer's attorneys, four buyer's brokers, four lenders, and four closings. Thanks to the experience and persistent hard work of Attorney Dawley each closing went smoothly and the client was very satisfied.

A client of Attorney Dawley-an intelligent and successful client-informed Attorney Dawley that he wanted to purchase a commercial building and convert it from its prior use as a hardware store to a completely different use. Commercial real estate transactions have some of the same issues as residential real estate transactions, but there are also some differences. Attorney Dawley advised his client that the proposed use of the building would likely involve obtaining permission from the local zoning board of appeals. Attorney Dawley also advised his client to do a thorough environmental review as there were indications that there were potential environmental concerns on the property. Finally, a structural and mechanical inspection revealed substantial defects. This transaction never got to a closing. Attorney Dawley advised the client to terminate the deal, and the client was able to do so because of the manner in which Attorney Dawley protected the client's interests. Sometimes terminating a transaction is the wisest course of action.
